Lead Counsel for worldwide law department division consisting of over 30 attorneys, paralegals and administrators. Provide commercial analysis to the entire business with sales in excess of $17B. Provide primary legal support for the Global Services Organization. Develop and implement service products, such as managed services, for wireless networks. Highlights include:

·         Drafted Motorola’s Foreign Corrupt Practices Act (FCPA) policy to minimize potential risk and ensure government compliance.  Created global training curriculum, including instruction of employees and third party partners.

·         Vet all agents against FCPA and Motorola policy.   Investigate and analyze issues and ensure appropriate resolution. Created an online analysis system providing greater focus on situations likely to raise issues, thereby minimizing risk.

·         Viewed as a trusted advisor by Corporate Vice President of Law and other senior officers through frequent interactions regarding substantive business, legal, ethical and policy issues.  

·         Drafted contracting policy for $17B segment of Motorola to identify and assess business risks in sales contracts.

·         Negotiated with US Forces in Kuwait to successfully extend cellular telephone service to the newly-liberated Iraq.

Drafted and negotiated sales agreements for infrastructure  telecommunications systems sold to major international companies in Middle East and Africa to meet demand and develop market for new cellular infrastructure products.  Served as primary consultant to sales, operations, technical, finance and senior management and provided legal advice.  Led interdisciplinary team to establish negotiating positions in relation to all warranty procedures, intellectual property, trans-border tax, and credit applications for each contract.  Frequent international travel to negotiate commercial agreements. Negotiated break in cellular infrastructure contract with major operator in Morocco, resulting in revenues in excess of $100M.

Primary legal support for international purchase of 9 aircraft from KLM, leveraged leases of new aircraft from McDonnell Douglas and international sale of aircraft to Air Namibia.
