Lead Counsel for worldwide law department division consisting of over 30 attorneys, paralegals and administrators. Provided commercial analysis to the entire business with sales in excess of $17B. Provided primary legal support for the Global Services Organization.

¨       Created global ethics and compliance training curriculum, including instruction of employees and third party partners in a variety of settings including both large and small groups as well as individual training domestically and internationally.

¨       Drafted Motorola’s Foreign Corrupt Practices Act (FCPA) policy to minimize potential risk and ensure government compliance. Led a virtual worldwide team of professionals.

¨       Presented lectures on ethics in international business at Georgetown and Dominican Universities.

¨       Vetted all agents against FCPA and Motorola policy reducing ethical risk of engagement.  Investigated and analyzed issues and ensured appropriate resolution. Created an online analysis system providing greater focus on situations likely to raise issues, thereby minimizing risk.

Negotiated and documented domestic commercial contracts and leases for a $700M publicly-held national airline, including aircraft acquisition and disposition.  Performed securities reporting and corporate secretariat functions.  Represented firm in regulatory issues before government agencies.  Coordinated financing, including leases and chattel mortgages.  Directed legal activity for asset purchases and sales, including mainframe and pc systems, flight simulators, and communications systems.  Supervised commercial and insured litigation by developing strategy, editing pleadings and other court documents, and organizing discovery responses. Primary legal support for international purchase of nine aircraft from KLM, leveraged leases of new aircraft from McDonnell Douglas, and international sale of aircraft to Air Namibia.
